Crane Harbor Acquisition Corp. was a Special Purpose Acquisition Company (SPAC) headquartered in Philadelphia, Pennsylvania, and incorporated in the Cayman Islands. Its core business was to effect a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more operating businesses, thereby taking that company public. As a blank check company, it did not have its own commercial operations or generate revenue.
The company focused on targeting high-growth businesses within the technology, real assets, and energy sectors for its business combination. Its management team included CEO William Fradin, CFO Thomas Elliott, and Chairman Jonathan Cohen, who also held leadership roles at HEPCO Capital Management.
Crane Harbor Acquisition Corp. completed its initial public offering (IPO) on April 25, 2025, raising $220 million. A significant development occurred in November 2025 when it announced a definitive merger agreement with Xanadu Quantum Technologies Inc., a leading photonic quantum computing company. This business combination was approved by shareholders in March 2026 and closed on March 26, 2026. Following the merger, the combined entity, Xanadu Quantum Technologies Limited, began trading on Nasdaq and the Toronto Stock Exchange under the ticker XNDU on March 27, 2026, becoming the first publicly traded "pure play" photonic quantum computing company. Crane Harbor Acquisition Corp.'s securities were subsequently delisted from Nasdaq.
